    SHOFU Anti-Bribery Policy

    1. Basic Policy
    All officers and employees of the SHOFU Group (“Employees, etc.”) shall strive to establish fair business practices by preventing bribery in accordance with the SHOFU Group Anti-Bribery Policy (this ”Policy”) and by complying with bribery regulations in all countries and regions where the SHOFU Group is engaged in business. To that end, we have established this Policy to prevent bribery.
    We also ensure that the SHOFU Group Code of Conduct, which includes provisions on bribery prevention, is well-known throughout the entire Group.

    2. Scope of Application
    This Policy applies to all Employees, etc. working for the SHOFU Group, both in Japan and overseas.
    We also request that all business partners involved in the SHOFU Group’s business activities understand and cooperate with this Policy.

    3. Prohibition of Bribery

    1. All SHOFU Group Employees, etc. shall not directly or indirectly engage in any act constituting bribery toward public servants or our other business partners in Japan or overseas, regardless of the amount of money involved.
    2. All SHOFU Group Employees, etc. shall refuse requests for facilitation payments; provided, however, that this does not apply to the minimum payment that is unavoidably necessary in the case of imminent threat to the life or physical safety of Employees, etc. Any Employee, etc. who has made a minimum required payment pursuant to the foregoing shall report to their supervisor and the department responsible for compliance within the SHOFU Group as soon as possible.

    4. Prohibition of Bribery Through an Agent, etc.
    All SHOFU Group Employees, etc. shall not issue instructions for the payment of bribes through third parties such as agents, consultants or agencies; nor shall Employees, etc. tolerate any acts constituting bribery in transactions conducted by third parties on behalf of Group companies.

    5. Entertainment and Gifts

    1. All SHOFU Group Employees, etc. must be sure to obtain approval from the responsible person at their company when providing or receiving entertainment or gifts.
    2. In the case SHOFU Group Employees, etc. provide entertainment and gifts, such provision shall be in compliance with any applicable laws and internal regulations that exist, and only insofar as such provision is not extravagant or excessive according to the social norms of the region where the business activities are conducted.
    3. All SHOFU Group Employees, etc. must maintain accurate records of payments when providing entertainment or gifts.

    6. Establishment of an Anti-Bribery System
    SHOFU Group will establish a department responsible for compliance and an internal reporting channel to enable Employees, etc. to anonymously consult or report acts of bribery they have discovered. Furthermore, those who make a consultation or report will not be subjected to any disadvantageous treatment.

    7. Education and Training
    SHOFU Group will ensure thorough awareness of this Policy and promote understanding of the prohibition of bribery through appropriate training and education as a measure to prevent acts of bribery by Employees, etc.

    8. Recording and Retention of Transaction Details
    SHOFU Group will prepare and retain accounting records, etc. for all transactions and asset disposals to demonstrate that prohibited acts of bribery are not being committed. It is prohibited to make false, misleading or incomplete entries in accounting records, etc.

    9. Penalty for Violation
    Violations of this Policy or any country’s anti-bribery laws are subject to disciplinary action in accordance with SHOFU Group regulations, and will be reported to the relevant authorities as necessary.

    Definition of Terms
    “SHOFU Group” means SHOFU INC. and its group companies in Japan and overseas.

    “Business partner” means all third parties involved in transactions or business activities with the SHOFU Group, including our suppliers, retailers and dealers.

    “Public servants” means Japanese public servants, foreign public servants; international public bodies, political parties, and their employees; candidates for public office, and any other persons who may be considered public servants. This also includes close third parties such as their immediate family members (spouses, children, dependents, etc.)

    “Bribery” means any act of providing, receiving, promising, demanding, soliciting or accepting money, goods or other unjust benefits for the purpose of influencing the performance of duties or decisions by the recipient, or inducing the recipient to engage in other improper acts, in order to obtain unjust benefits. Furthermore, we recognize that small payments made to public servants without discretionary authority, such as facilitation payments aimed at streamlining and expediting administrative procedures, also constitute a form of bribery.

    “Money, goods or other unjust benefits” includes anything beneficial to the recipient, regardless of its name, whether it be cash, cash equivalents, gifts, services, employment, loans, travel expenses, entertainment such as meals and tickets to sporting events, political contributions, charitable donations, subsidies, per diem allowances, sponsorships, gratuities, etc.

    Our mission at the Shofu Group is to contribute to dental care around the world and support people’s bountiful lives through the provision of safe, secure, and high-quality products and services under the corporate philosophy of “contribution to dentistry through innovative business activities.” In order to realize this corporate philosophy, we believe that it is essential to respect the human rights of all people affected by our corporate activities. We have established this Human Rights Policy (hereinafter, “this Policy”) in order to fulfill our corporate responsibility to respect human rights, and we will engage in efforts to respect human rights based on this Policy with the aim of realizing a sustainable society.

    1. Basic approach to human rights
    The Shofu Group supports and respects international norms regarding human rights, such as the “International Bill of Human Rights” and the ILO (International Labour Organization) “Declaration on Fundamental Principles and Rights at Work,” and we have established this Policy to facilitate promotion of efforts to respect human rights using the United Nations’ “Guiding Principles on Business and Human Rights” as a framework for implementation.

    2. Scope of application
    This Policy applies to all officers and employees (including full-time employees, part-time workers, and temporary employees) of the Shofu Group (SHOFU INC. and its consolidated subsidiaries). We also ask our business partners, suppliers, and other stakeholders to understand and support this policy, and work together with us to respect human rights.

    3. Human rights due diligence
    We will establish a human rights due diligence system based on the United Nations’ “Guiding Principles on Business and Human Rights” to identify, prevent, and reduce any negative impacts the Shofu Group may have on our stakeholders’ human rights.

    4. Dialogue and consultation
    In the process of implementing this Policy, we will draw upon the human rights expertise of independent external experts, and engage in honest dialogue and consultation with relevant stakeholders.

    5. Education and training
    We will make this Policy known to all officers and employees of the Shofu Group as well as provide them with appropriate education and training on respect for human rights in order to ensure that this Policy is understood and put into practice.

    6. Remedy
    If it becomes clear that our corporate activities have caused a negative impact on human rights, we will endeavor to provide relief through appropriate procedures and work to prevent recurrence.

    7. Responsibility to respect human rights
    We understand that our corporate activities may impact human rights. We will fulfill our responsibility to respect human rights and build a responsible supply chain by ensuring that our corporate activities do not violate the human rights of those affected by such activities, and by taking appropriate measures to remedy any negative impacts on human rights should they occur.

    8. Disclosure of information
    We will regularly disclose our efforts to respect human rights on our website and through other means.

    9. Applicable laws and regulations
    We will comply with the laws and regulations of each country or region in which we are engaged in corporate activities. When there is a conflict between internationally recognized human rights and the laws of each country or region, we will seek ways to maximize our respect for international human rights principles.

    SHOFU INC. (the “Company”) hereby releases this statement, in accordance with Article 54 of the Modern Slavery Act 2015 of the UK.

    This statement discloses the policies and initiatives of the SHOFU Group (the “Group”) related to the prevention of modern slavery and human trafficking in fiscal 2024(April 1, 2024 to March 31, 2025)

    1. Business Overview and Organization

    The Company is a comprehensive manufacturer of dental materials and equipment that
    engages in the manufacture and sale of dental materials and equipment. We operate our businesses mainly in Japan; North, Central, and South America; Europe; and Asia and Oceania, and we supply materials and equipment used in dental treatment and techniques to dental professionals and dentistry educational institutions in Japan and overseas. As of March 31, 2025, we had 4 consolidated subsidiaries in Japan and 15 overseas, and a consolidated workforce of 1,413 employees (705 in Japan and 708 overseas).

    In the UK, ADVANCED HEALTHCARE LTD. engages in the businesses of researching
    and developing, manufacturing, and selling dental materials, and we also sell products
    indirectly through our German subsidiaries, SHOFU DENTAL GmbH and MERZ DENTAL GmbH.

    2. Policies Related to the Prevention of Slave Labor and Human Trafficking

    In order to realize our corporate philosophy of “Contributing to dentistry through innovative business activities,” the Group considers it essential to respect the human rights of all people affected by its business activities, and has thus established the “SHOFU Group Human Rights Policy” in an effort to fulfill our corporate responsibility to respect human rights.

    The “SHOFU Group Human Rights Policy” requires our business partners, suppliers, and other stakeholders to understand the policy and establishes a human rights due diligence mechanism to identify, prevent, and mitigate negative impacts on human rights, such as slave labor, in the Group’s business activities.

    Also, under the “Shofu Group code of conduct,” which sets forth guidelines for Group employees in Japan and overseas to behave in accordance with common ethical values, we pursue to uphold international human rights norms and respect the human rights of people throughout the supply chain in the Group’s business activities.

    3. Initiatives Related to the Prevention of Slave Labor and Human Trafficking

    • The Group applies the “SHOFU Group Human Rights Policy” and the “Shofu Group code of conduct” to Group employees in Japan and overseas, and takes thorough measures to ensure compliance with this code regarding respect for human rights.
    • We provide training on respect for human rights and anti-harassment for its officers and all employees.
    • The Group maintains a whistle-blowing system with a dedicated hotline in place for external parties to consult on and report human rights violations that would occur in our business activities. We have established a system to respond to such consultations and reports.
    • We incorporated a human rights clause into the basic transaction agreement template for the Company and its domestic Group companies, and execute such agreements with our vendors.
    • We have also established the Ethics Committee chaired by the Chief Operating Officer to deliberate and determine measures to ensure compliance, including human rights issues, so that we can increase the effectiveness of compliance of the Group.

    4. Future Initiatives

    • We will provide training on respect for human rights to Group employees in Japan and overseas.
    • We will work on respect for human rights, focusing on human rights due diligence to identify, prevent, and mitigate negative impacts on human rights in the Group’s
      business activities.
    • In accordance with the “SHOFU Group Human Rights Policy” and the “Shofu Group code of conduct,” we will continue promoting initiatives to prevent human rights issues such as slave labor, human trafficking, child labor, and forced labor from occurring, across both the Group and our entire supply chain.

    This statement was approved by the Board of Directors of the Company on September 5, 2025.

    Three-way business partnership between SHOFU, SUN MEDICAL and Mitsui Chemicals

    SHOFU INC. (Tokyo: 7979; President & COO: TAKAMI Tetsuo), SUN MEDICAL CO., LTD. (Head Office: Moriyama, Shiga; President & CEO: NAKAJIMA Yoshiyuki) and Mitsui Chemicals, Inc. (Tokyo: 4183; President & CEO: HASHIMOTO Osamu) today announced that Shofu Dental Brasil Comercio de Produtos Odontologicos Ltda. (Shofu Brasil; Head Office: Sao Paulo, Brazil; President: HARASHIMA Tomomi), a sales subsidiary of SHOFU, will launch Brazilian sales of SUN MEDICAL’s Super-Bond™ dental adhesive in June 2023.

    Employing 4-methacryloxyethyl trimellitate anhydride (4-META) as a dispersion-aiding monomer and tributylborane (TBB) as a polymerization initiator, Super-Bond™ is an acrylic resin cement made for use as a dental adhesive. It is referred to in academic literature as a 4-META/MMA-TBB resin. SUN MEDICAL began producing and selling the product in 1982, and since sales first began in Japan, the material has become a favorite among dentists due to its excellent adhesive properties and ample track record of effectiveness. Super-Bond™ finds use in a wide range of applications, including stabilizing mobile teeth, forming direct resin-bonded bridges, and enabling the adhesion of brackets and ceramic prostheses. The material enjoys widespread use in clinical settings around the world, with exports already going out to the U.S., Europe, China and South Korea.

    Super-Bond™ is made up of a polymerization initiator, a liquid and a polymer powder, and exhibits excellent adhesion to tooth material (enamel/dentin), dental alloys and ceramics alike. The product’s mechanism sees Catalyst V, which has TBB as its main component, react with water and oxygen to serve as a polymerization initiator. Super-Bond™ is especially notable for its adhesion to tooth material, which is difficult to keep completely dry: since hardening begins at the adhesive interface, the product is able to exhibit better adhesive strength and adhesive durability here than conventional resin cements.

    Super-Bond™ recently received pharmaceutical approval in Brazil, where the dentistry market looks set for growth going forward. This then prompted the decision to begin sales in this market, helping those in the country to keep their natural teeth for longer. Starting with an exhibition at CIOCE 2023 – an international dentistry conference set to be held in Fortaleza over May 6–9, 2023 – efforts will be made to gradually introduce the product across the country via KOL marketing at seminars and other such venues.

    Tribute to the Late Mr. Makoto Yamamoto

    We bid farewell to a great dental technologist, a scientist, a researcher, an author, a teacher, an advisor and a legend in the field of dental technology.

    Mr. Makoto Yamamoto, our senior technical advisor passed away on February 2, 2023. We are deeply saddened by the news of his passing and express our sincere condolences and heartfelt sympathy to his beloved family.

    Mr. Yamamoto had a great impact in the field of dental technology and prosthetic dentistry not only in Japan, but also known globally.

    He had contributed immensely towards the advancements in dental technology by developing innovative products to enhance capabilities of dental ceramics. He was honoured by Harvard University for his contribution in the field of prosthetic dentistry.

    He has authored many books, including “The Metal Ceramics” a must-read for ceramists and was the first dental technician in the world to receive the Lifetime Achievement Award at the 4th Japan International Dental Congress.

    Mr. Yamamoto was instrumental in the development of wide range Shofu laboratory products, such as UNIBOND & VINTAGE Opal porcelain (world’s first Opalescent porcelain) and other dental ceramic materials. He was also involved in the development of the world’s first dental colorimeter Shofu ShadeEye, and the Eye Special series, etc., and was active in dental technology education worldwide.

    Our entire Shofu organization would like to express our eternal gratitude to Mr. Yamamoto for his contributions to the dental community and our company where his legacy will live on. We would like to express our deepest condolences to his family and may his soul rest in peace.
